Introduction and Acceptance

Welcome to Hyperealiti.

These Terms of Service ("Terms") govern access to and use of the websites, mobile applications, digital platforms, and associated services (collectively, the "Services") provided by Hyperealiti Inc. ("Hyperealiti", "we", "us", or "our"), a company registered in Ontario, Canada.

The Services include the 1plus1 – Power of We mobile application and related authorized digital solutions.

By accessing or using the Services, you agree to these Terms. If you access the Services on behalf of an organization, you must be authorized to do so.

If you do not agree with these Terms, you must discontinue your use of the Services.

These Terms should be read together with our Privacy Notice and any applicable agreements between Hyperealiti and your organization.

02

Scope of Services

Hyperealiti provides technology solutions supporting telecom infrastructure management, digital transformation, business processes, and related enterprise operations.

The 1plus1 platform is designed to support the telecom infrastructure lifecycle, from initial site-related activities through deployment, maintenance, and ongoing operations.

Specific services, capabilities, and configurations may vary depending on client requirements, contractual arrangements, technical availability, and administrative permissions.

The app shows client-specific customized modules with prior authorization only.

Hyperealiti may enhance, modify, or introduce functionality as part of its ongoing service development, subject to applicable contractual commitments.

03

User Eligibility and Authorized Access

Certain Services are intended exclusively for authorized business users, including employees, contractors, customers, partners, and other personnel designated by participating organizations.

Access may require:

  • Prior registration or authorization by the participating organization.
  • Appropriate authentication and identity verification.
  • Assignment of relevant user roles and permissions.
  • Compliance with organizational security and access policies.

Access to one service or module does not automatically authorize access to other functions or client environments.

Hyperealiti reserves the right to restrict or suspend access where reasonably necessary to protect security, comply with legal obligations, or enforce these Terms.

Organizations are responsible for managing their authorized users and promptly informing Hyperealiti of relevant access changes, subject to their contractual arrangements.

04

Acceptable Use and User Responsibilities

Users must access and use the Services lawfully, responsibly, and only for authorized business purposes.

Users agree not to:

  • Access data, accounts, systems, or functionality without permission.
  • Disclose authentication credentials to unauthorized persons.
  • Circumvent security controls or access restrictions.
  • Upload malicious code or interfere with the Services.
  • Attempt unauthorized extraction, reverse engineering, or duplication of proprietary technology, except where permitted by applicable law.
  • Misuse confidential information or violate the rights of other users or organizations.
  • Use the Services in violation of applicable laws, regulations, or contractual obligations.

Users are responsible for the accuracy and legality of information they submit and for complying with applicable workplace and operational safety requirements.

05

Client Information and Confidentiality

Information entered, uploaded, exchanged, or accessed through the Services may include confidential business, operational, technical, or organizational information.

Such information remains subject to applicable ownership rights, confidentiality obligations, and contractual restrictions.

Hyperealiti respects the confidentiality of client information and processes it only as necessary to deliver and support the Services, comply with applicable contractual obligations, or meet lawful requirements.

Users must not disclose client-specific information, configurations, operational records, or other restricted information without appropriate authorization.

Nothing in these Terms transfers ownership of client information to Hyperealiti.

06

Privacy and Data Protection

Hyperealiti recognizes the importance of protecting personal information.

Our collection, use, disclosure, storage, and protection of personal information are described in our Privacy Notice.

We handle personal information in accordance with applicable privacy and data protection laws, including, where applicable:

07

Intellectual Property Rights

All rights, titles, and interests in the Services, including software, platform architecture, designs, interfaces, trademarks, documentation, and proprietary technologies, belong to Hyperealiti or its respective licensors.

Subject to these Terms and any applicable enterprise agreement, authorized users receive a limited, non-exclusive, non-transferable right to access and use the Services for their intended business purposes.

No intellectual property ownership is transferred through access to or use of the Services.

Client-owned information and materials remain the property of their respective owners.

The name Hyperealiti, the 1plus1 brand, and related logos and trademarks may not be used without appropriate authorization.

08

Service Availability and Changes

Hyperealiti aims to maintain reliable and secure digital services.

However, availability may be affected by scheduled maintenance, system upgrades, connectivity limitations, third-party dependencies, security incidents, or circumstances beyond our reasonable control.

We may update or modify the Services to improve security, reliability, functionality, or compliance.

Where required by applicable contracts or law, material changes or planned service interruptions will be communicated to affected organizations.

Any specifically agreed service levels, support commitments, or availability guarantees will be governed by the relevant enterprise agreement.

09

Third-Party Services

The Services may interact with third-party infrastructure, software, connectivity providers, or other authorized enterprise systems.

These third-party services may be subject to separate terms and privacy practices.

Hyperealiti is not responsible for independently operated third-party services except to the extent required by applicable law or expressly agreed in a written contract.

Users must comply with applicable third-party terms when accessing integrated services.

10

Security and Account Protection

Hyperealiti implements technical and organizational safeguards appropriate to the nature of its Services and information processing activities.

Users are expected to maintain reasonable security practices, protect authentication credentials, and promptly report suspected unauthorized access or security incidents.

Hyperealiti may investigate suspected misuse and take proportionate measures to protect users, clients, information, and infrastructure.

No internet-based system can be guaranteed to be completely secure.

Security-related inquiries may be directed to support@hyperealiti.com.

11

Operational Information and Automated Assistance

Certain Services may provide digital guidance, automated assistance, workflow recommendations, or other technology-enabled outputs.

Such information is intended to support authorized business operations and does not replace professional judgment, mandatory safety procedures, regulatory requirements, or required organizational approvals.

Users and their organizations remain responsible for reviewing information and making operational decisions appropriate to their responsibilities.

Unless expressly agreed otherwise, the Services should not be treated as a substitute for emergency response systems or safety-critical communication channels.

12

Suspension and Termination

Access to the Services may be suspended, restricted, or terminated when:

  • An organizational authorization is withdrawn.
  • A relevant enterprise agreement expires or is terminated.
  • These Terms are materially violated.
  • Continued access creates a material security or legal risk.
  • Suspension or termination is required by applicable law.

Where reasonably practicable and legally permitted, appropriate notice will be provided.

Upon termination, access rights cease. The handling, retention, return, or deletion of information will be governed by applicable law, our Privacy Notice, and any relevant enterprise or data processing agreement.

Termination does not affect obligations that are intended to survive, including applicable confidentiality and intellectual property obligations.

13

Warranties and Disclaimer

Hyperealiti endeavors to deliver its Services with reasonable care and professional diligence.

Except as expressly provided in an applicable written agreement or required by law, the Services are provided on an "as available" basis.

Hyperealiti does not guarantee uninterrupted availability, error-free operation, or suitability for every particular business requirement.

Nothing in these Terms excludes any warranty, remedy, or right that cannot lawfully be excluded.

Specific service warranties and performance commitments agreed with enterprise customers remain governed by their respective contracts.

14

Limitation of Liability

To the maximum extent permitted by applicable law, Hyperealiti will not be liable for indirect, incidental, special, or consequential business losses arising from the use or inability to use the Services, except where liability cannot legally be limited or excluded.

Liability arising under a separately executed enterprise agreement will be governed by the applicable provisions of that agreement.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where such limitation is prohibited, or any other liability that cannot be excluded or limited under applicable law.

These Terms do not restrict mandatory statutory rights or remedies available to individuals under applicable Canadian or European law.

15

Compliance with Applicable Laws

Users and participating organizations must comply with the laws and regulations applicable to their use of the Services.

Hyperealiti operates from Canada and may provide Services to organizations in other jurisdictions, including the European Union and European Economic Area.

Where applicable, relevant local laws and mandatory legal protections will continue to apply.

The organization deploying or using the Services is responsible for ensuring that its business processes, user instructions, and operational use comply with applicable industry-specific obligations.

16

Governing Law and Dispute Resolution

Unless otherwise expressly agreed in a written enterprise contract, these Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Subject to applicable mandatory legal rights, disputes arising under these Terms will be submitted to the competent courts of Ontario, Canada.

Nothing in this section deprives users of protections or remedies that cannot lawfully be waived, including mandatory rights available under applicable European Union or national law.

Where a separately executed enterprise agreement contains governing-law or dispute-resolution provisions, that agreement will control the relevant contractual dispute.

17

Changes to These Terms

Hyperealiti may revise these Terms to reflect changes in its Services, business operations, security requirements, or applicable laws.

The latest version will be published on our official website, with the updated effective date.

Where required by applicable law or contract, material changes will be communicated in advance and additional agreement will be obtained where necessary.

Changes will not retroactively override separately agreed contractual rights.

18

Relationship with Enterprise Agreements

Certain Services are provided under separate commercial agreements, service level agreements, licensing arrangements, or data processing agreements with enterprise customers.

These Terms establish general conditions for accessing and using the Services.

In the event of a conflict, the applicable signed enterprise agreement will prevail for the matters expressly covered by that agreement. A signed data processing agreement will govern the relevant personal data processing obligations.

Nothing in these Terms grants access to a customer environment, proprietary module, or restricted business service without prior authorization.
